WHEREAS, the Employer hires the Employee in the capacity of ____ [Insert Job Title], and the Employee agrees to serve in the said capacity under the terms and conditions set forth in this Agreement;

WHEREAS, the Employer wishes to protect its legitimate business interests, including but not limited to its confidential information, trade secrets, and client relationships from unauthorized use or disclosure;

  1. Non-Compete Obligation: The Employee agrees not to engage in any business activities that compete with the Employer's business during the term of employment and for a period of ____ [Insert Duration] months following the termination of employment, within the geographic region of ____ [Insert Geographic Area].
  2. Non-Solicitation: For a period of ____ [Insert Duration] months following the termination of employment, the Employee shall not solicit clients, customers, or employees of the Employer, either directly or indirectly, to terminate their relationship with the Employer in favor of a competitor.
  3. Confidentiality: The Employee agrees to retain in confidence all confidential information and to not use or disclose such information except as authorized by the Employer or required by law.
  4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provisions.
