Maryland Non-Compete Agreement Template
This Non-Compete Agreement (hereinafter referred to as "Agreement") is entered into on this ____ [Insert Day] day of ____ [Insert Month], ____ [Insert Year], by and between ____ [Insert Employee Name], residing at ____ [Insert Employee Address] (hereinafter referred to as "Employee") and ____ [Insert Employer Name], a corporation organized and existing under the laws of the State of Maryland, with its principal office located at ____ [Insert Employer Address] (hereinafter referred to as "Employer").
WHEREAS, the Employer hires the Employee in the capacity of ____ [Insert Job Title], and the Employee agrees to serve in the said capacity under the terms and conditions set forth in this Agreement;
WHEREAS, the Employer wishes to protect its legitimate business interests, including but not limited to its confidential information, trade secrets, and client relationships from unauthorized use or disclosure;
WHEREAS, the Employee acknowledges that he/she will have access to such confidential information and recognizes the importance of the restrictions imposed by this Agreement in relation to the Employer's business interests;
NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
- Non-Compete Obligation: The Employee agrees not to engage in any business activities that compete with the Employer's business during the term of employment and for a period of ____ [Insert Duration] months following the termination of employment, within the geographic region of ____ [Insert Geographic Area].
- Non-Solicitation: For a period of ____ [Insert Duration] months following the termination of employment, the Employee shall not solicit clients, customers, or employees of the Employer, either directly or indirectly, to terminate their relationship with the Employer in favor of a competitor.
- Confidentiality: The Employee agrees to retain in confidence all confidential information and to not use or disclose such information except as authorized by the Employer or required by law.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provisions.
- Enforcement: In the event of a breach of this Agreement, the Employer is entitled to seek and obtain injunctive relief in addition to any other legal or financial remedies.
- Entire Agreement: This Agreement contains the entire understanding between the parties and supersedes all prior and contemporaneous agreements, representations, and understandings between the parties.
- Amendment: Any amendment to this Agreement must be in writing and signed by both parties.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect.
- Signatures: Both the Employer and the Employee must sign this Agreement, acknowledging their understanding and consent to its terms and conditions.
